HELP International Corporation Berhad’s Proposed Bonus Issue of New Ordinary Shares


Kuala Lumpur, Wednesday, 15 September 2010 – HELP International Corporation Berhad (HIC) held an Extraordinary General Meeting of shareholders (EGM) today at HELP University College. A circular to shareholders was released in relation to three proposals which is the proposed bonus issue of 53,265,600 new ordinary shares; a  proposed increase in the authorised share capital of HIC and proposed amendments to the Memorandum and Articles of Association of HIC. 
The proposed bonus issue of RM0.50 each will be issued on the basis of three (3) bonus shares for every five (5) existing ordinary shares. The proposed increase in the authorised capital from HIC is from RM 50,000,000 comprising 100,000,000 shares to RM250,000,000 comprising 500,000,000 shares.  
The announcement details filed with Bursa Malaysia dated 19 July 2010 by AmInvestment Bank Berhad on behalf of the Board of Directors of HIC; and with approval of the listing of and quotation for the Bonus Shares on the Main Market of Bursa Securities announced on 20 August 2010 are as follow:
  • bonus issue of 53,265,600 new Shares, to be credited as fully paid-up, on the basis of three (3) Bonus Shares for every five (5) existing Shares held at an entitlement date to be determined later;
  • increase in the authorised share capital of HIC from RM50,000,000 comprising 100,000,000 Shares to RM250,000,000 comprising 500,000,000 Shares; and 
  • amendments to the Memorandum and Articles of Association of HIC (“M&A”) pursuant to the Proposed Increase In Authorised Share Capital and to be in line with the recent amendments to the Main Market Listing Requirements (“Listing Requirements”) of Bursa Malaysia Securities Berhad (“Bursa Securities”) relating to the electronic dividend payment (“eDividend”)
